Terms and Conditions

These Terms of Service (the "Terms") govern the rights and obligations between the operator of the Ukolio application and its users.

(hereinafter referred to as the "Operator")

2. Definitions

  • Application – the Ukolio web application for managing Kanban-style projects and tasks, including support for connecting third-party AI agents via the Model Context Protocol (MCP).
  • User – any natural or legal person using the Application.
  • Services – functionalities and services provided through the Application.
  • Account – a user account created within the Application.

3. Description of Services

  1. Ukolio is a multi-tenant Kanban task manager designed for both human users and AI agents.
  2. The Services include in particular: organising projects and tasks on customisable workflows; managing workspaces and team members; defining custom fields, statuses and tags; commenting on and attaching files to tasks; and connecting third-party AI agents through the Model Context Protocol (MCP) so they can read and update the User's tasks on the User's behalf.
  3. The Application allows the User to connect external AI agents and tools (e.g. Claude, ChatGPT or other MCP-compatible clients) using the OAuth 2.1 protocol. The Operator is not the provider of these third-party agents and has no control over their behaviour.
  4. The Application is primarily designed to be operated through AI agents; the web interface serves mainly for human overview. The User remains responsible for reviewing actions performed in the Application by agents acting on their behalf.

4. Registration and User Account

  1. Registration may be required to access certain Services.
  2. The User is obliged to provide accurate and up-to-date information.
  3. The User is responsible for safeguarding their login credentials.
  4. The Operator is not liable for misuse of the Account by third parties.

5. Pricing, Plans and Payment Terms

  1. The Application is offered in the following plans: Free and Pro.
  2. Upon registration, the User is automatically granted a Trial plan for 30 days, functionally equivalent to the Pro plan.
  3. After the Trial period expires, the Account is automatically downgraded to the Free plan unless the User selects and pays for a paid plan.
  4. Paid plans are provided as recurring monthly or annual subscriptions.
  5. By purchasing a subscription, the User agrees to automatic renewal for subsequent billing periods unless the subscription is cancelled before renewal.
  6. The User may cancel the subscription at any time via their Account; the subscription remains active until the end of the paid period.
  7. Subscription fees are non-refundable, unless mandatory applicable law provides otherwise.

6. Rights and Obligations of the User

The User undertakes to use the Application in compliance with applicable laws, to refrain from interfering with the technical operation of the Application, and not to misuse the Application for unlawful or harmful purposes.

7. Rights and Obligations of the Operator

  1. The Operator is entitled to modify, update, expand or restrict the Application or its functionality at any time.
  2. The Operator may temporarily or permanently limit availability of the Application, in particular due to maintenance, security, technical issues or changes by third parties.
  3. The Operator is entitled to suspend or terminate an Account in case of violation of these Terms.
  4. The Operator is not responsible for the performance or availability of third-party services.

8. Limitation of Liability

  1. Use of the Application is at the User's own risk.
  2. The Operator shall not be liable for any decisions or actions taken by the User or by AI agents connected to the User's Account, loss of data or productivity, lost profits or indirect damages arising from the use of the Application, accuracy, completeness or timeliness of data entered into or imported into the Application, or temporary or permanent unavailability of the Services due to technical issues, force majeure or third-party actions.
  3. To the maximum extent permitted by applicable law, the Operator's total liability is limited to the amount of the subscription fee paid by the User for the last billing period.

9. Third-Party Integrations and AI Agents

  1. The Application allows integration with third-party services and AI agents, in particular MCP-compatible clients such as Claude, ChatGPT or similar tools.
  2. The Operator is not the owner or operator of such third-party services and has no control over their availability, functionality, output or content.
  3. The Operator shall not be liable for changes, limitations or termination of third-party services, for actions performed by agents connected to the User's Account, for inaccuracies in their output, or for any damages resulting from the use of such third parties.
  4. Use of third-party agents and tools may be subject to the terms and conditions of the respective providers, which the User is obliged to comply with.
  5. The User is solely responsible for authorising agents to access their Account and may revoke such authorisation at any time within the Application.

10. Intellectual Property

  1. The Ukolio Application, its name, logo, user interface, databases, structure, design and other components are protected by intellectual property laws.
  2. Unless expressly stated otherwise, the Operator grants the User a non-exclusive, non-transferable and limited license to use the Application for personal or internal purposes only.
  3. Parts of the Application may be provided as open-source software and are governed by their respective open-source licenses.
  4. The User is not entitled to copy, modify, distribute or otherwise exploit the Application beyond the granted license.

11. Language Versions

  1. These Terms may be prepared in Czech and English language versions.
  2. In case of any discrepancy between language versions, the English version shall prevail.

12. Personal Data Protection

Personal data protection is governed by a separate document, the Privacy Policy, available within the Application or on the Operator's website.

13. Final Provisions

  1. These Terms are governed by the laws of the Czech Republic.
  2. The Operator reserves the right to amend these Terms unilaterally.
  3. Users will be informed of any changes through the Application.

These Terms and Conditions are valid and effective as of 24-05-2026.
